Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the sgwrs.cymru service ("Service"), operated by Dafydd Thomas Software Ltd trading as sgwrs.cymru ("Dafydd Thomas Software Ltd", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
You must be at least 13 years old to use this Service. By using the Service, you represent that you have the legal right and capacity to enter into these Terms.
2. Accounts
Access to the Service is managed through the Clerk authentication platform. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must not share your login details with any other person.
If you become aware of any unauthorised use of your account, you must notify us immediately at legal@sgwrs.cymru. We are not liable for any loss or damage arising from your failure to comply with these obligations.
3. Content
You retain ownership of the content you write in your conversations. However, by using the Service, you grant Dafydd Thomas Software Ltd a licence to store, process and transmit your conversations to our sub-processors (including AI model providers) for the purpose of providing the Service.
Conversations are stored on Convex servers. We take all reasonable steps to protect your data, though we cannot guarantee absolute security against every threat.
Dafydd Thomas Software Ltd is not responsible for content submitted by users or generated by AI models. We act as a platform provider and do not endorse or verify user or AI-generated content.
Dafydd Thomas Software Ltd does not warrant the accuracy, completeness or suitability of responses generated by artificial intelligence systems. Such responses should be treated as general assistance only, and not as professional, legal, medical, financial or any other form of specialist advice.
4. Proprietary Rights
The sgwrs.cymru platform, including its source code, design, logos and trade marks, is owned by Dafydd Thomas Software Ltd and is protected by copyright and intellectual property law.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your personal use only, subject to these Terms.
You retain full ownership of any original content you produce. Dafydd Thomas Software Ltd does not claim any ownership over your content.
5. Acceptable Use
In using the Service, you agree not to:
- Reverse engineer, disassemble, decrypt or otherwise attempt to obtain the source code of the Service
- Scrape or automatically collect data from the Service without our prior written consent
- Use the Service for competitive purposes or to build a similar product or service
- Attempt to circumvent any payment obligation, rate limit or security measure
- Upload, submit or distribute any unlawful, harmful, threatening, abusive, harassing, defamatory, pornographic or otherwise objectionable content
- Distribute malware, viruses, computer worms or any other harmful code
- Abuse the Service in any other manner that is detrimental to Dafydd Thomas Software Ltd, our other users or third parties
We may, but are not obligated to, monitor, review or moderate content submitted to or generated through the Service.
Dafydd Thomas Software Ltd reserves the right to suspend or terminate access for any user who violates these conditions, without prior notice.
6. Pricing
The Service is available at three tiers:
- Free (£0/month): Basic access to the platform with foundational models
- Pro (£8/month): Access to advanced models, web search, file uploads, and image generation
- Premier (£40/month): Access to premium models with the highest monthly usage limits
Subscriptions are processed and managed through Stripe, a secure payment platform. Payments are taken automatically each month. You may cancel your subscription at any time; access will continue until the end of the current billing period.
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a 14-day right to cancel a paid subscription from the date of purchase. By beginning to use the Service immediately upon subscribing, you expressly consent to the immediate supply of digital content and acknowledge that you will lose your 14-day cancellation right once supply of that digital content has begun during the cancellation period. You will be informed of this and asked for your express consent at the point of purchase.
We reserve the right to modify pricing. Appropriate notice will be given before any price change takes effect for existing subscribers.
7. Welsh Language
sgwrs.cymru is designed with Welsh as its primary language. The platform interface and default behaviour are set to Welsh, though users may switch to English.
Responses generated by the artificial intelligence systems within this Service are assistive in nature. They are not authoritative or linguistically accurate translations. AI responses must not be relied upon as professional translation, particularly for official, legal or clinical purposes.
Dafydd Thomas Software Ltd is committed to supporting and promoting the Welsh language through this platform.
8. Privacy
Your privacy is of the utmost importance to us. Our Privacy Policy explains how we collect, use and protect your personal data. The Privacy Policy forms an integral part of these Terms and both documents should be read together.
By using the Service, you acknowledge that you have read and understood our Privacy Policy.
9. Modification and Termination
Dafydd Thomas Software Ltd reserves the right to modify, suspend or terminate the Service or any part of it, at any time and for any reason, with or without prior notice. For users on paid plans, we will provide at least 30 days' notice before any material change to or termination of the Service, except where immediate action is required for security or legal reasons.
You may cancel your account at any time through the account settings or by contacting us at legal@sgwrs.cymru. Users are advised to export their data before cancelling, as data may be deleted following an appropriate period after account closure.
Upon termination, your right to access the Service will cease immediately.
10. Disclaimer of Warranty
The Service is provided on an "as is" and "as available" basis, without warranty of any kind, whether express or implied. To the fullest extent permitted by applicable law, Dafydd Thomas Software Ltd disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free or that it will meet your specific requirements.
Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015.
11. Limitation of Liability
To the fullest extent permitted by law, Dafydd Thomas Software Ltd trading as sgwrs.cymru, and any employees, partners and suppliers, will not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the Service.
In all cases, Dafydd Thomas Software Ltd's aggregate liability is limited to the amount you have paid to Dafydd Thomas Software Ltd during the twelve months preceding the event giving rise to the claim, or £100 (whichever is the greater).
This clause does not apply to the extent that it would be considered unfair under Part 2 of the Consumer Rights Act 2015.
12. Indemnification
You agree to indemnify, defend and hold harmless Dafydd Thomas Software Ltd trading as sgwrs.cymru, and any employees and agents, from and against any claims, liabilities, damages, losses and costs (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your infringement of any third-party rights.
This clause does not apply to the extent that it would be considered unfair under Part 2 of the Consumer Rights Act 2015.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If a dispute arises, we encourage you to contact us first at legal@sgwrs.cymru so that we can attempt to resolve the matter informally within 30 days before either party commences formal proceedings.
There is no mandatory arbitration provision in these Terms. You retain the right to bring proceedings before an appropriate court.
14. Changes
We may revise these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this document. By continuing to use the Service after changes take effect, you agree to the revised Terms.
Where changes are material, we will endeavour to provide appropriate notice.
15. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. Dafydd Thomas Software Ltd may assign these Terms in connection with a merger, acquisition, reorganisation or sale of all or substantially all of its assets, provided that the assignee agrees to be bound by these Terms.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.
